OBLIGATIONS OF DISTRIBUTOR

This document outlines the duties, responsibilities, and obligations of every distributor engaged in the marketing, promotion, and sale of products offered by YODHAAVEDA NATURAL INDIA PVT. LTD (hereinafter referred to as “the Company”).

  1. Legal Compliance
    The Distributor shall:
    • Comply with all applicable laws, rules, and regulations under the Government of India, including:
      • Consumer Protection (Direct Selling) Rules, 2021
      • Drugs & Cosmetics Act (if applicable)
      • FSSAI regulations (for nutraceutical products)
      • GST and taxation laws
    • Not engage in any activity that is illegal, misleading, or unethical.
  2. Registration & Identity
    • The distributor must be properly registered with the Company through valid KYC documents.
    • The distributor shall maintain the confidentiality of login ID, password, and distributor code.
    • The distributor shall operate only in their own name and shall not transfer their ID without company approval.
  3. Product Promotion & Sales
    The distributor shall:
    • Promote only Company-approved products and marketing materials.
    • Clearly explain product benefits without making:
      • False claims
      • Medical guarantees
      • Misleading income promises
    • Sell products at MRP or company-approved pricing only.
    • Provide proper bill/invoice for every sale.
  4. Ethical Business Practices
    The distributor shall maintain honesty, integrity, and professionalism at all times.
    Shall not:
    • Mislead customers or prospects
    • Use pressure selling techniques
    • Make false commitments regarding income or returns
    Respect customers' rights and ensure transparency in all dealings.
  5. No Misrepresentation
    Distributor must not represent themselves as:
    • Employee of the Company
    • Legal representative
    Distributor cannot:
    • Sign agreements on behalf of the Company
    • Make unauthorized commitments
  6. Income Representation
    The distributor shall not:
    • Guarantee income or profits
    • Show fake earnings or false success stories
    All income must be represented based on actual company compensation plan.
  7. Customer Service Responsibility
    The distributor shall:
    • Provide after-sales support to customers.
    • Address complaints and guide customers for product usage.
    • Inform customers about:
      • Return policy
      • Refund policy
      • Product usage instructions
  8. Inventory & Stock Handling
    • Distributor shall not stock excessive products beyond reasonable sales capacity.
    • Maintain proper storage conditions for Ayurvedic/Nutraceutical products.
    • Ensure product quality is not compromised.
  9. Prohibition of Cross-Line Activities
    Distributor shall not:
    • Shift team members to another sponsor
    • Manipulate genealogy structure
    Must respect company network ethics.
  10. No Unauthorized Advertising
    Distributor shall not:
    • Run ads without company approval
    • Use company logo, brand name, or content illegally
    Social media promotion must be ethical and approved.
  11. Training & Development
    Distributor should:
    • Attend company trainings, meetings, and seminars
    • Stay updated with product knowledge and policies
    • Ensure team members are also properly guided
  12. Non-Compete Clause
    Distributor shall not promote or engage in:
    • Competing direct selling companies
    • Similar Ayurvedic/Nutraceutical brands (without permission)
  13. Confidentiality
    Distributor must maintain confidentiality of:
    • Company data
    • Business strategies
    • Team structure
    Sharing confidential data may lead to termination.
  14. Payment & Financial Responsibility
    Distributor shall:
    • Pay all dues, purchases, and applicable fees on time
    • Follow GST rules if applicable
    The company is not responsible for personal financial dealings.
  15. Termination & Disciplinary Action
    The Company reserves the right to:
    • Suspend or terminate distributor ID if:
      • Rules are violated
      • Fraud or unethical conduct is found
    • Legal action may be taken if required.
  16. Return & Refund Policy Compliance
    Distributor must follow company return/refund policies.
    Shall not:
    • Deny valid returns
    • Misguide customers regarding refund terms
  17. Code of Conduct Adherence
    Distributor must strictly follow the Company’s Code of Conduct.
    Maintain discipline in:
    • Meetings
    • Events
    • Public representation
  18. Liability Clause
    Distributor acts as an independent contractor, not an employee.
    Company shall not be liable for:
    • Personal misconduct
    • Unauthorized commitments
    • Independent financial dealings
  19. Use of Company Materials
    All company brochures, plans, and presentations:
    • Must be used in original form
    • Cannot be modified without permission
  20. Acceptance of Terms
    By registering as a distributor, the individual agrees to:
    • Follow all company policies
    • Work ethically and legally
    • Represent the Company with dignity and responsibility
